Terms of Service
Clear terms for your iCRM subscription, implementation and support services.
About these terms
These Terms of Service govern access to iCRM and related services supplied by Ipercepts Creative Soft Tech Private Limited ("iPercepts", "we", "us" or "our"). The customer organization and its authorized users are referred to as "you".
Use of paid services is subject to the accepted order, proposal or service agreement identifying your subscription and any implementation work. A separately signed agreement takes precedence over these general terms where there is a conflict. The Privacy Policy explains information handling and does not replace any agreed data-processing terms.
Authority and account administration
You must have authority to accept the applicable agreement for your organization and to provide information to the service. Keep account and billing details accurate, protect credentials, allocate access only to authorized users and notify us of suspected unauthorized access.
Your organization's administrators manage users and permissions within the subscription. User limits, deployment arrangements and any permitted account-sharing arrangements are determined by your order.
Services and implementation
The subscribed modules, number of users, subscription period, hosting arrangement and included support are set out in the applicable order. Implementation, training, migration, customization and integration services are included only to the extent agreed in writing.
Additional development or changes to scope may require a separate estimate, agreed requirements and revised delivery dates. You are responsible for supplying accurate source information and timely access or decisions reasonably needed for the agreed work.
Fees, invoices and taxes
Subscription and service fees, payment frequency, due dates and applicable taxes are specified in your accepted order or invoice. Pay the agreed amounts using the authorized payment method and contact us promptly about any billing discrepancy.
Any revised pricing for a future subscription period will be communicated before that period is agreed. Payment processors may apply their own terms to payment transactions; our handling of billing information is covered by the Privacy Policy.
Subscription term, renewal and cancellation
The subscription term, renewal method and any cancellation notice period are governed by your accepted quotation or order. Any automatic renewal or recurring charge must be disclosed when the subscription is agreed. Request cancellation or a change to renewal by contacting support@ipercepts.com from an authorized account, identifying the customer and subscription.
The effect of cancellation on the current paid period, any outstanding charges and continuing access is determined by the applicable agreement and mandatory law. Cancelling a subscription does not itself complete a personal-data deletion request; the Privacy Policy and agreed exit arrangements apply to data handling.
Trials, refunds and changes of plan
Any trial duration, feature limits, refund eligibility, refund calculation, and upgrade or downgrade treatment are governed by the accepted quotation or order. A trial or refund commitment for another product or customer does not automatically apply to your subscription.
Requests are assessed under the agreed terms and applicable law. Nothing in these terms removes a refund or other remedy that cannot lawfully be excluded.
Customer data and responsibilities
You retain your rights in the data you provide. You authorize us to handle it as necessary to deliver the agreed service, follow lawful customer instructions and meet applicable obligations, subject to the Privacy Policy and any data-processing agreement.
You are responsible for the accuracy of your records and for having the necessary rights, notices and permissions to collect and use information about your leads, customers, employees or other individuals. This includes permissions needed for communications, uploaded files, workplace monitoring or special categories of information.
Configure user access appropriately and maintain any exports or records required for your own business obligations. Data export, return and deletion at the end of service are governed by the agreed exit arrangements and the Privacy Policy.
Acceptable use
Use the service lawfully and within the agreed subscription. You must not use it to send unlawful or unauthorized communications, upload malicious material, infringe another person's rights, obtain access to another customer's records, circumvent security or usage limits, or interfere with the service.
Reselling the service, distributing our software or using it outside the licensed scope requires our written agreement. This does not restrict rights that applicable law does not permit us to exclude.
Connected services and calendar integrations
Email, SMS, WhatsApp, payment and file-storage providers are selected by the customer for its deployment. You authorize the integrations you request and are responsible for the relevant third-party accounts, permissions, charges and terms. We remain responsible for our own service obligations and handling of information under the Privacy Policy. Provider availability, account settings and processing locations may vary.
Each authorized CRM user can connect multiple calendar accounts through Settings > Calendar. Microsoft Outlook / Microsoft 365 is available where configured and enabled for the deployment. Connections require authorization from the relevant account holder and are subject to the permissions shown by the provider.
The provided controls determine whether connected events appear in the CRM, whether CRM meetings are added to a connected calendar and whether permitted information is visible in the team calendar. For Google meetings, iCRM requests a Google Meet link and displays the link returned by Google.
When you schedule a meeting with attendees, meeting and invitation information is shared with the selected calendar provider and invitees. Attendee calendar display and acceptance depend on the provider's invitation settings and the attendee's response. Take care when adding confidential details or invitees.
You can remove a connection using Disconnect in Settings > Calendar. Background synchronization stops immediately, stored authorization tokens and cached calendar events for that connection are deleted immediately, and provider authorization is revoked. Disconnection does not itself cancel meetings or withdraw invitations already created in external calendars. The Privacy Policy explains other retention and deletion practices.
Third-party availability, account settings, permissions and API changes may affect functionality. We remain responsible for our own obligations, and these terms do not grant broader rights to Google information than Google's policies allow.
Software and intellectual property
iCRM software, branding, documentation and our pre-existing tools remain owned by us or the relevant rights holder. Your subscription grants the access and use rights stated in your agreement; it does not transfer ownership of the software.
Ownership and permitted reuse of separately commissioned deliverables, customer materials or custom development should be specified in the relevant statement of work.
Support, maintenance and availability
Support channels, operating hours, response commitments, backup arrangements and any service levels are those agreed for your subscription. Planned maintenance, urgent security work and third-party outages may affect access. We will communicate material service issues through appropriate channels where practicable.
Any warranty, uptime commitment or recovery objective must be expressly stated in the applicable agreement. Please report faults with enough detail for us to investigate and avoid sending unnecessary personal or confidential information in support requests.
Suspension and termination
Access may be restricted or terminated as permitted by the agreement and applicable law, including for a material breach, an unresolved payment default or a serious security or legal risk. Where appropriate and practicable, we will give notice and an opportunity to address the issue. Urgent action may be needed to protect the service or affected parties.
On expiry or termination, outstanding obligations are handled under the applicable agreement. Contact us before the end of the service if you need an export or transition arrangement. Our data return, cooling-off and deletion process is:
Customer CRM data is retained while the customer uses the subscribed service. When the customer's CRM services are deactivated, we retain their CRM workspace data for a 30-day cooling-off period so that they can request reactivation before permanent deletion.
As part of the exit process, we export the customer's CRM data to Excel and provide the export to the customer. Customers should request and verify their export before the cooling-off period ends.
If the services have not been reactivated by the end of the 30-day period, we permanently delete the customer's CRM instance and associated workspace data from our systems, including backups and logs, at the end of that period. We email the customer before permanent deletion and send a further email once deletion has been completed. After permanent deletion, the deleted data cannot be restored.
Application and database backups are taken every two days; customer data held in those backups is included in this deletion process. Information that must be retained to comply with law or resolve a legitimate dispute may be retained only as required for that purpose.
The 30-day cooling-off period applies to customer service deactivation. For a separate personal-data deletion request, our team completes deletion within one day of the request, subject to verifying the requester's identity or authority and any applicable legal-retention requirements.
When a user disconnects a connected calendar account, background synchronization stops immediately. We immediately delete the stored authorization tokens and cached calendar events for that connection and revoke the provider authorization.
Responsibilities and legal remedies
Each party remains responsible for its obligations under the applicable agreement and law. Any specific warranties, liability limits, exclusions or indemnities must be agreed in the applicable contract and remain subject to mandatory law.
Nothing in these terms excludes a responsibility or remedy that cannot lawfully be excluded. The service supports your business processes; your organization remains responsible for its commercial decisions and the review of its records and communications.
Updates to these terms
We may revise these general terms for future services and renewals and will communicate material changes appropriately. A revision does not automatically override an existing signed agreement or change already-agreed commercial terms, except as that agreement or applicable law permits.
Changes to personal-information handling are described separately through the Privacy Policy and any required notices or consent requests.
Law and resolving concerns
Please contact us first so that we can try to resolve a service or billing concern. Governing law, jurisdiction and any agreed dispute-resolution process are set out in your applicable agreement. Where no separate provision applies, the laws of India apply to the extent permitted by mandatory law, and disputes may be brought before a court with lawful jurisdiction.
